Terms of Service

1. Introduction

Welcome to BasilStack, operated by BStack LLC ("BStack," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the BasilStack website, platform, and services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

BasilStack is an AI model evaluation platform that allows users to:

  • Test and compare multiple AI models (including models from OpenAI, Anthropic, Google, and others)
  • Upload documents and data for retrieval-augmented generation (RAG) testing
  • Export evaluation results

3. Account Registration

To use the Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activity under your account. One person or entity per account unless otherwise agreed.

4. Subscription Plans and Payment

4.1 Plans

We offer multiple subscription plans with varying features and limits as described on our pricing page. Plan features and pricing may change with notice.

4.2 Free Trial

New accounts receive a 7-day free trial with limited evaluations. No credit card is required for the trial.

4.3 Billing

  • Paid subscriptions are billed monthly or annually in advance
  • All fees are in US dollars and non-refundable except as required by law
  • All fees are exclusive of applicable taxes, levies, or duties, which may be charged based on your location and applicable law
  • You authorize us to charge your payment method on file

4.4 Cancellation

You may cancel your subscription at any time. Access continues until the end of your current billing period. We do not provide prorated refunds for partial months.

5. Usage Limits and Fair Use

5.1 Plan Limits

Each plan includes specific limits on:

  • Monthly evaluations
  • Models per evaluation (maximum 6)
  • RAG file uploads
  • RAG web pages

Current limits are displayed on your account dashboard and our pricing page.

5.2 Premium Model Limits

To ensure fair access for all users, certain premium AI models (including but not limited to Gemini Pro and GPT-5.2) may be subject to additional usage limits. These limits may change based on third-party API costs and availability.

5.3 Fair Use

We reserve the right to throttle, suspend, or limit accounts that:

  • Exceed reasonable usage patterns
  • Appear to be reselling or redistributing the Service
  • Place excessive load on our infrastructure
  • Abuse the Service in any way

If you need higher limits, contact us for custom enterprise pricing.

6. Acceptable Use

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Harass, abuse, or harm others
  • Generate content that is illegal, harmful, or violates third-party AI provider terms
  • Use automated scripts or bots except through our official API
  • Resell or redistribute the Service without permission

We may suspend or terminate accounts that violate these terms.

7. Your Data

7.1 Your Content

You retain ownership of all data, documents, and content you upload to the Service ("Your Content"). You grant us a limited license to use Your Content solely to provide the Service.

7.2 Data Processing

When you run evaluations, Your Content may be sent to third-party AI providers (OpenAI, Anthropic, Google, etc.) for processing. By using the Service, you consent to this data transfer. Review each provider's terms and privacy policies for their data handling practices.

7.3 Your Responsibilities for Personal Information

You are responsible for ensuring compliance with applicable privacy laws (including GDPR, CCPA) when using the Service. Specifically:

  • Do not include sensitive personally identifiable information (PII) such as Social Security Numbers, financial account numbers, health records, or government-issued IDs in evaluation prompts unless you have proper legal basis and consent
  • Anonymize or pseudonymize data containing PII before using it in evaluations when possible
  • Ensure you have the necessary rights and permissions to process any personal data you include in Your Content
  • Understand that evaluation content is processed by third-party AI providers as described in Section 7.2

BStack is not liable for your inclusion of PII in evaluation prompts. You agree to indemnify us for any claims arising from your processing of personal data through the Service.

7.4 Data Retention

  • We retain Your Content while your account is active
  • You may delete Your Content at any time
  • Upon account termination, we will delete Your Content within 30 days

7.5 Privacy

Our collection and use of personal information is described in our Privacy Policy.

8. Intellectual Property

8.1 Our Rights

BStack, BasilStack, our logos, and the Service are our property or licensed to us. These Terms do not grant you any rights to our trademarks or intellectual property.

8.2 Your Rights

You retain all rights to Your Content. Evaluation results generated using Your Content belong to you.

8.3 Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

9. Third-Party Services

The Service integrates with third-party AI providers. Your use of these integrations is subject to:

  • Our Terms
  • The third party's terms of service
  • The third party's acceptable use policies

We are not responsible for third-party services, their availability, or their actions.

10. Disclaimers

The Service does not provide legal, compliance, financial, or other professional advice.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • AI model outputs will be accurate, complete, or reliable
  • The Service will meet your specific requirements

AI model responses may contain errors, biases, or inaccuracies. You are responsible for evaluating and validating any outputs before relying on them.

10.1 No Representations or Warranties Regarding Outputs

The Service, including all evaluations, analyses, comparisons, scores, recommendations, or other outputs or insights generated by the Service, is provided for informational and decision-support purposes only. BStack LLC makes no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, suitability, or fitness for any particular purpose of any outputs.

10.2 Customer Responsibility for Use of Outputs

You are solely responsible for reviewing, validating, and determining how to use any outputs, evaluations, analyses, or insights generated by the Service, and for any decisions, actions, or outcomes resulting from your use of the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim
  • We are not liable for any actions of third-party AI providers

Some jurisdictions do not allow these limitations, so they may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Bstack LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your processing of personal data through the Service

13. Termination

13.1 By You

You may close your account at any time through your account settings or by contacting us.

13.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails
  • We discontinue the Service
  • Required by law

13.3 Effect of Termination

Upon termination:

  • Your access to the Service ends
  • Your subscription is not refunded (except as required by law)
  • We may delete Your Content after 30 days

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or in-product notice. Continued use after changes constitutes acceptance.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes will be resolved through binding arbitration in California, except that either party may seek injunctive relief in court.

15.3 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and BStack LLC.

15.4 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.5 No Waiver

Our failure to enforce any right does not waive that right.

15.6 Assignment

You may not assign these Terms. We may assign them in connection with a merger or acquisition.
